Terms and Conditions for VeScribe Usage

These terms and conditions (“Agreement”) set forth the general terms and conditions of your use of the vescribe.com website (“Website” or “Service”) and any of its related products and services (collectively, “Services”). This Agreement is legally binding between you (“User”, “you” or “your”) and VeScribe LLC (doing business as “Vescribe”, “we”, “us” or “our”). If you are entering into this agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this agreement, in which case the terms “User”, “you” or “your” shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this agreement, you must not accept this agreement and may not access and use the Website and Services. By accessing and using the Website and Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. You acknowledge that this Agreement is a contract between you and VeScribe, even though it is electronic and is not physically signed by you, and it governs your use of the Website and Services.

1. Accounts and Membership

1.1 If you create an account on the Website, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may monitor and review new accounts before you may sign in and start using the Services. Providing false contact information of any kind may result in the termination of your account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of this Agreement or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons, you may not re-register for our Services. We may block your email address and Internet protocol address to prevent further registration.

2. User Content

2.1 We do not own any data, information or material (collectively, “Content”) that you submit on the Website in the course of using the Service. You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all submitted Content. We may monitor and review the Content on submitted or created using our services/platform by you. You grant us permission to access, copy, distribute, store, transmit, reformat, display, and perform the Content of your user account solely as required for the purpose of providing the Services to you. Without limiting any of those representations or warranties, we have the right, though not the obligation, to, in our sole discretion, refuse or remove any Content that, in our reasonable opinion, violates any of our policies or is in any way harmful or objectionable. 3.1 Users shall not store, access, reproduce or transmit any texts, images, audio recordings, videos or any other information or materials, in any audio and/or visual manner or media in any country that: Constitute or repeat a hoax or otherwise defraud, mislead or deceive any person or entity; Violates or breaches any federal, state or local laws, rules or regulations, including, without limitation, any the judgments, orders or rulings of any court or administrate body in any country; Violates or breaches the rights of any person or entity, including, without limitation, the infringing or misappropriating of any patents, copyrights, trademarks, trade secrets, moral rights, any other intellectual property rights or rights of publicity or privacy; Constitutes or reproduces defamatory, obscene, pornographic, vulgar, lewd, offensive or unlawful behavior, information or materials in any country; Promotes or tends to promote discrimination, bigotry, racism, hatred, harassment or harm against any individual or group in any country; Constitutes or promotes any inflammatory, abusive, violent or threatening actions that are threatening to any other person; Advocates or incites any act of terrorism or violence in any country; Displays acts of real violence, cruelty or criminal activity; Promotes illegal or harmful activities or substances; Advocates or incites any obstructions or violation f any legislation or administrative regulations; Incites sedition and/or acts to overthrow any government; Advocates or incites political division in any country; Fabricates or distorts the truth, spreads rumors or destroying the order of society; Insults, defames or slanders any person or group of persons, whether living or deceased; Defames or slanders state or governmental organizations in any country; Or harms or tends to harm children. And without limiting any of the foregoing, customer shall not access or use, and shall not authorize or permit the access to or use of, the VeScribe Platform for any of the following: To impersonate any person or entity, or falsify or otherwise misrepresent the identity, credentials, affiliations of intentions of any person or company, To collect, store or use any information from or about another user, other than as intended and expressly authorized in writing by such user; To “stalk” or harass any person or company; to distribute unsolicited commercial or bulk electronic communications (or “spam”), chain letters or “pyramid” schemes; For political campaigning, recruiting votes or soliciting donations or other support for any political cause or legislation in any country; To systematically retrieve information or content to create or compile, directly or indirectly, in single or multiple downloads, a collection, compilation, database, directory or the like, whether by manual methods, through the use of bots, crawlers, or spiders or otherwise; If user is notable to form legally binding contract; If user is barred from receiving services under the laws of the United States or other applicable jurisdiction; Or for any other purposes that are not expressly permitted by the provisions of these Terms and Conditions in this Agreement.

Acceptance of these terms

You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Website and Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to access or use the Website and Services.

AUTHORIZATION:
By electronically Agreeing to Terms and Conditions and this Personal Information Agreement where indicated below, the Individual (or the Individual’s authorized representative) agrees as follows: That person has read and understands the terms and conditions of this Terms and Conditions Agreement; and, subject to the terms and conditions of this Terms and Conditions Agreement, that person authorizes Customer and/or a person or company designated by Customer to store and exploit the Personal Information concerning the Individual on Toolchain and the VeChainThor Blockchain.
